1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("you," "Client," or "User") and Truvixx Technologies Private Limited ("Truvixx," "we," "us," or "our"), a company incorporated in India under the Companies Act, 2013.
By registering for a Truvixx account, accessing our platform at truvixx.com, using our APIs, or placing a verification order, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookies Policy.
If you are entering into this agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not accept these Terms or use the platform.
These Terms apply to all services provided by Truvixx, including our web platform, mobile interfaces, REST APIs, bulk processing tools, and any associated documentation.
2. Our Services
2.1 Service Description
Truvixx provides background verification and risk intelligence services to enterprise clients. Our services include, but are not limited to:
- Employee background verification (identity, employment history, criminal records, education, address).
- Driver and vehicle verification via MoRTH, Sarathi, and Vahan databases.
- Identity verification using Aadhaar, PAN, face match, and liveness detection.
- Criminal record searches across 500+ court databases and regulatory blacklists.
- Education certificate authentication via UGC-DEB, DigiLocker, and institutional networks.
- Address verification including digital document checks and physical field visits.
- Compliance screening including EPFO, GSTIN, and regulatory database checks.
- Vendor due diligence including MCA/ROC checks, director screening, and legal case searches.
2.2 Service Availability
We target 99.5% platform uptime measured monthly, excluding scheduled maintenance windows (communicated at least 72 hours in advance) and force majeure events. We do not guarantee uninterrupted access to third-party government databases, which are outside our control. Where a government database is unavailable, we will notify you and provide a revised turnaround estimate.
2.3 Service Modifications
We reserve the right to modify, discontinue, or add services at any time. We will provide reasonable advance notice of material changes that affect existing service agreements.
3. Eligibility & Account Registration
3.1 Eligibility Requirements
To use Truvixx, you must:
- Be a legally registered business entity or a professional acting on behalf of such an entity.
- Have a lawful basis for conducting background verification on the individuals you submit to our platform.
- Have obtained appropriate written consent from individuals whose data you submit, where required by law.
- Not be located in or operating on behalf of an entity under sanctions imposed by the Government of India or the United Nations.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials and API keys.
- All activity that occurs under your account, including activity by your employees and authorised users.
- Promptly notifying us at security@truvixx.com if you suspect unauthorised access to your account.
- Implementing multi-factor authentication on your Truvixx dashboard account.
3.3 Accurate Information
You must provide accurate, current, and complete information during registration and update it as necessary. Providing false or misleading information is grounds for immediate account termination.
4. Acceptable Use Policy
4.1 Permitted Uses
You may use Truvixx solely for:
- Pre-employment and ongoing employee background screening for your organisation.
- Vendor, contractor, and partner due diligence for your business operations.
- KYC and identity verification as part of your regulated onboarding workflows.
- Fleet and gig-worker onboarding where you are the platform or operator responsible for such workers.
4.2 Prohibited Uses
You must not use Truvixx to:
- Conduct verification checks on individuals without their knowledge and lawful consent.
- Discriminate against individuals based on protected characteristics (caste, religion, gender, disability, etc.) using verification results.
- Resell, sublicence, or provide access to our services or data to third parties without our prior written consent.
- Reverse engineer, scrape, or attempt to extract our underlying data sources, models, or methodologies.
- Submit fraudulent, fabricated, or third-party data as if it were your own legitimate verification request.
- Use our services for personal, domestic, or surveillance purposes not related to legitimate business verification.
- Interfere with, disrupt, or attempt to gain unauthorised access to our systems, APIs, or databases.
- Violate any applicable law, including the DPDP Act 2023, IT Act 2000, Equal Remuneration Act, or any sector-specific regulation.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, forfeiture of pre-paid credits, and potential legal action. We reserve the right to audit usage patterns to detect policy violations.
5. Data Processing & Consent
5.1 Client Responsibility for Consent
You, as the enterprise Client and Data Fiduciary under the DPDP Act 2023, are solely responsible for obtaining and documenting valid, freely given, informed, and unambiguous consent from all individuals whose personal data you submit to Truvixx for verification. Truvixx provides consent management templates as guidance, but the adequacy and legality of consent obtained is your responsibility.
5.2 Data Processing Agreement
By accepting these Terms, you enter into a Data Processing Agreement (DPA) with Truvixx, under which Truvixx acts as a Data Processor processing personal data on your behalf as the Data Fiduciary. The DPA is incorporated into these Terms by reference and sets out the subject matter, duration, nature, and purpose of processing, along with our mutual obligations under applicable data protection law.
5.3 Minimum Data Principle
You agree to submit only the minimum personal data necessary for the specific verification check ordered. Truvixx reserves the right to query only the data fields required for each check type, and to reject submissions that include unnecessary sensitive data.
5.4 Accuracy of Submitted Data
You warrant that all personal data submitted to Truvixx is accurate, up to date, and collected lawfully. Truvixx is not liable for verification results derived from inaccurate data submitted by you or the Data Subject.
6. Intellectual Property
6.1 Our Intellectual Property
All intellectual property in the Truvixx platform — including software, algorithms, data models, verification methodologies, database infrastructure, user interface, brand elements, trademarks, and documentation — is owned by or licensed to Truvixx Technologies Private Limited. Nothing in these Terms grants you any licence to our intellectual property beyond the limited right to use the platform as expressly described herein.
6.2 Verification Reports
Verification reports generated by Truvixx are the proprietary work product of Truvixx, licensed to you for use within your organisation in connection with the specific verification request. You may not reproduce, distribute, or commercially exploit reports outside your organisation without our prior written consent.
6.3 Your Data
You retain ownership of the personal data you submit to Truvixx. You grant Truvixx a limited, non-exclusive licence to process that data solely for the purpose of providing the requested verification services and fulfilling our obligations under these Terms.
7. Fees & Payment
7.1 Pricing
Our fees are set out in the pricing schedule agreed in your order form, enterprise agreement, or as displayed in your platform dashboard. All fees are exclusive of applicable taxes, including GST, which will be added at the applicable rate.
7.2 Payment Terms
- Pre-paid credits must be purchased before use and are valid for 12 months from the date of purchase.
- Enterprise subscription invoices are payable within 30 days of the invoice date unless otherwise agreed.
- Late payments accrue interest at 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower).
- We reserve the right to suspend service for accounts with overdue balances exceeding 15 days.
7.3 Refunds
Verification checks that have been initiated and processed are non-refundable, as the underlying data query costs have been incurred. Credits for checks that fail due to a Truvixx system error (not a government database outage or data quality issue) will be credited to your account within 5 business days.
8. Confidentiality
Each party agrees to maintain the confidentiality of the other party's Confidential Information and to use it only for the purpose of performing obligations under these Terms. "Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or court order, provided the disclosing party is given prompt prior notice where legally permissible.
Confidentiality obligations survive termination of these Terms for a period of 5 (five) years.
9. Disclaimers & Warranties
9.1 Platform Provided "As Is"
The Truvixx platform and services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2 Accuracy of Verification Results
Truvixx verification results are derived from third-party government databases and public records. While we strive for the highest accuracy, we do not warrant that all results are complete, error-free, or current, as we are dependent on the accuracy and availability of source databases. Verification reports should be used as one input into hiring or business decisions, not as a sole determinative factor.
9.3 Employment and Legal Decisions
Truvixx does not provide legal, HR, or employment advice. Verification results must not be used as the sole basis for adverse employment or business decisions. You are responsible for ensuring that your use of verification results complies with applicable employment law, including the right of individuals to contest adverse findings.
10. Limitation of Liability
10.1 Exclusion of Consequential Damages
To the maximum extent permitted by applicable law, in no event shall Truvixx be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or in connection with these Terms or your use of the platform, even if Truvixx has been advised of the possibility of such damages.
10.2 Cap on Liability
Our total aggregate liability to you for all claims arising out of or related to these Terms, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you to Truvixx in the 12 months immediately preceding the event giving rise to the claim, or ₹50,000 (Indian Rupees Fifty Thousand), whichever is greater.
10.3 Essential Basis
You acknowledge that the limitations of liability in this section are a fundamental element of the basis of the bargain between you and Truvixx, without which Truvixx would not provide its services at the pricing offered.
11. Indemnification
You agree to indemnify, defend, and hold harmless Truvixx and its directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the platform in violation of these Terms or applicable law.
- Your failure to obtain lawful consent from individuals whose data you submit for verification.
- Any employment, contractual, or legal decision made by you based on a verification result.
- Any breach by you of your representations, warranties, or obligations under these Terms.
- Any claim by a Data Subject arising from your use of a verification report.
12. Termination
12.1 Termination by You
You may terminate your Truvixx account at any time by providing 30 days' written notice to accounts@truvixx.com. Unused pre-paid credits are non-refundable upon voluntary termination unless otherwise agreed in your enterprise agreement.
12.2 Termination by Truvixx
We may suspend or terminate your account immediately and without prior notice if:
- You breach any provision of these Terms or our Acceptable Use Policy.
- We have reasonable grounds to believe your use of the platform is fraudulent or illegal.
- You fail to pay outstanding invoices within 30 days of a payment reminder.
- We are required to do so by law or a lawful direction from a competent authority.
12.3 Effect of Termination
Upon termination, your right to access the platform ceases immediately. We will retain your verification data for the periods specified in our Privacy Policy and provide you with a data export on written request within 30 days of termination. Provisions of these Terms that by their nature should survive termination will do so, including confidentiality, intellectual property, limitation of liability, and governing law.
13. Governing Law & Disputes
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms, including disputes relating to their validity, breach, termination, or nullity, shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
13.2 Dispute Resolution
Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution of any dispute through senior management escalation for a period of 30 days from written notice of the dispute. If the dispute remains unresolved, either party may initiate formal proceedings.
13.3 Arbitration
Enterprise Clients with an active enterprise agreement may elect arbitration as an alternative dispute resolution mechanism. In such cases, arbitration shall be conducted in English in Mumbai under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by the parties.
14. Changes to Terms
We may revise these Terms from time to time. When we make material changes, we will notify registered Clients via email at least 30 days prior to the effective date of the change. Non-material changes (such as typographical corrections or clarifications that do not affect your rights) may be made without prior notice.
The most current version of these Terms will always be available at truvixx.com/terms. Your continued use of the platform after the effective date of updated Terms constitutes acceptance of those changes.
